    These Terms are a binding agreement between you and PandoraByte LLC (“Banbino”, “we”, “us”), a Wyoming limited liability company registered at 75 E 3rd St, Sheridan, WY 82801, United States. By creating an account or using the Service you agree to them, together with our Community Guidelines and Privacy Policy.

    Important notices, please read

    You must be 18 or older. Banbino is strictly for adults. We do not permit minors on the Service under any circumstance.

    Zero tolerance. We have zero tolerance for objectionable content and for abusive users. Objectionable content is removed and offending accounts are terminated (Section 5), and zero tolerance for child sexual abuse and exploitation (Section 6).

    Banbino is not an adult, hookup, escort, or sexual-services platform. Sexual services, compensated companionship, and solicitations for conception by intercourse are prohibited and result in a permanent ban (Section 9).

    We never handle payments between users. Banbino does not process, escrow, broker, facilitate, or take a commission on any payment between you and another user, a donor, a surrogate, or a clinic (Sections 10 and 11).

    You are responsible for your own legal compliance. Donor conception and surrogacy law differs sharply between countries. Banbino provides software and introductions only (Section 11).

    Subscriptions renew automatically until cancelled. You must cancel at least 24 hours before the end of the current period to avoid being charged again (Section 18).

    No medical or legal advice. Banbino is not a fertility clinic, medical provider, sperm or egg bank, surrogacy agency, or law firm (Section 16).

    Dispute resolution. Section 29 contains a binding arbitration agreement and class action waiver for users in the United States, with a 30-day opt-out right. It does not apply to consumers in the EU, UK, or other jurisdictions where such clauses are unenforceable.

    1. Introduction and acceptance

    Our service. Banbino is a mobile and web platform that helps adults connect with other adults who share family-building goals. Depending on the pathway you select, Banbino may facilitate introductions relating to romantic partnership, co-parenting, sperm or egg donation, and surrogacy, and may display donor profiles supplied by licensed fertility clinics that partner with us.

    Banbino provides software that enables introductions and communication. That is the whole of what we sell. We do not provide medical services, fertility treatment, legal services, matchmaking guarantees, brokerage, escrow, or any product or service other than access to our software.

    Agreement to these Terms. By creating an account, accessing, downloading, or using the Banbino application or website (together, the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms, our Community Guidelines, and our Privacy Policy, each incorporated by reference. If you do not agree, you must not use the Service. You accept these Terms by affirmatively agreeing at registration, and we keep a record of that acceptance.

    Who we are. Banbino is developed and operated by PandoraByte LLC, a Wyoming limited liability company, 75 E 3rd St, Sheridan, WY 82801, United States. Contact details for all purposes appear in Section 33.

    2. Eligibility, age requirements and age assurance

    Minimum age, 18+. You must be at least 18 years old to use the Service. If the age of majority or digital consent in your jurisdiction is higher, you must have reached that higher age. There are no exceptions, and no permitted use by anyone under 18 for any purpose, including with parental consent. By using the Service you represent that you are at least 18 and have legal capacity to enter a binding contract.

    Age assurance and enforcement

    An age gate at registration and collection of date of birth.

    Use of age-signal information made available by app marketplaces (including Apple's Declared Age Range API and Google Play Age Signals), where available and applicable.

    Automated and human review of profiles for signals that a user may be under 18.

    The ability for any user to report a suspected minor from any profile or chat.

    Identity or age verification, which we may require of any account at any time.

    If we believe an account holder is under 18, we will suspend the account immediately, and we will terminate it unless the user completes verification showing they are 18 or older. Associated data is deleted in accordance with our Privacy Policy and applicable law.

    Additional eligibility requirements

    Be seeking to build a family through one or more of the pathways the Service supports, for yourself or with a partner.

    Provide accurate information about yourself, including your real age and current photographs of yourself.

    Not be a registered sex offender, and not have been convicted of an offence involving sexual assault, sexual abuse, child abuse or exploitation, human trafficking, kidnapping, stalking, domestic violence, homicide, or terrorism.

    Not be located in, ordinarily resident in, or a national of any jurisdiction where the Service is prohibited or where we do not operate (Section 30).

    Not have been previously removed or banned from the Service, and comply with all laws applicable to you.

    One account per person. Accounts are personal to you and may not be shared, sold, transferred, or accessed by anyone else. Operating multiple accounts may result in the suspension or termination of all of them.

    3. Account registration and security

    Registration. You may register using an email address, a phone number, or a third-party sign-in provider (for example Apple or Google). Use of a third-party sign-in is also subject to that provider's terms.

    Your responsibilities

    Keeping your credentials and device access secure.

    All activity that occurs under your account.

    Notifying us immediately at contact@banbino.co if you suspect unauthorised access.

    Accuracy. You must keep your profile information accurate and current, and you must not impersonate any other person, use another person's photographs, or misstate your age, identity, health status, genetic information, marital status, or family-building intentions.

    4. What Banbino is, and what it is not

    Banbino is a software platform that lets verified adult users create profiles, express interest in one another, and communicate, and that may display donor profiles provided by licensed fertility clinic partners.

    Banbino is not

    A fertility clinic, medical practice, laboratory, or healthcare provider.

    A sperm bank, egg bank, tissue bank, or gamete or embryo supplier.

    A surrogacy agency, adoption agency, or matching agency of any kind.

    An escort service, adult content service, hookup service, or provider of any sexually oriented service.

    A marriage or international marriage brokerage service.

    A payment processor, money transmitter, escrow agent, or broker.

    A law firm or provider of legal advice, or a genetic testing or genetic counselling service.

    No guarantees

    That you will receive matches, messages, or interest from anyone.

    That any user, donor, surrogate, or clinic profile is accurate, complete, or truthful.

    Any conception, pregnancy, birth, medical, or family-building outcome.

    The conduct, character, intentions, health, or legal status of any other user.

    Uninterrupted or error-free operation of the Service.

    Any statements about compatibility, matching, or suitability are algorithmic suggestions only. They are not medical, genetic, or legal opinions.

    5. Zero-tolerance policy for objectionable content and abusive users

    We have zero tolerance for objectionable content and for abusive users. You agree that you will not post, upload, transmit, share, or otherwise make available any objectionable content, and that you will not behave abusively toward any other user or toward our staff.

    How we give effect to this policy

    Filtering. We apply automated filtering and moderation systems to profiles, photographs, and messages.

    Reporting. Every profile, photograph, and conversation includes an in-app mechanism to report objectionable content or an abusive user.

    Blocking. Every user can block any other user at any time. A blocked user cannot contact you or see your profile.

    Action within 24 hours. We act on reports of objectionable content and abusive users within 24 hours by removing the reported content and, where substantiated, ejecting the user who posted it.

    Ejection. We remove any user who breaches these Terms or our Community Guidelines. Removal may be permanent and without refund, subject to Section 19.

    Published contact information. Our contact details are published in Section 33, on our website, and in the app.

    “Objectionable content” includes anything listed in Sections 6, 8 and 9, and anything a reasonable adult user would find abusive, harassing, hateful, threatening, sexually explicit, exploitative, deceptive, or otherwise inappropriate on a family-building platform.

    6. Child safety standards, prohibition of child sexual abuse and exploitation

    This Section constitutes Banbino's published child safety standards. Banbino has a zero-tolerance policy for child sexual abuse and exploitation (“CSAE”) and for child sexual abuse material (“CSAM”). The Service is for adults aged 18 and over only. Any content or conduct that sexualises, exploits, endangers, or facilitates the abuse of a minor is absolutely prohibited.

    You must never use the Service to

    Create, upload, share, request, link to, or solicit CSAM or any sexualised depiction of a minor, whether real, drawn, animated, or generated by artificial intelligence.

    Sexualise a minor in any way, including in text, in a profile, or in conversation.

    Groom, or attempt to groom, a minor, or engage in any conduct intended to establish contact with a minor for a sexual or exploitative purpose.

    Facilitate, promote, advertise, or normalise child sexual abuse, child trafficking, child marriage, the sale or transfer of a child, or any unlawful transfer of parental rights.

    Share or solicit sexualised imagery of your own or another person's children, including within a co-parenting or family-building conversation.

    Offer, request, or arrange any transaction involving a child, or access the Service if you are under 18.

    Any discussion of children on the Service must be in the ordinary, non-sexual context of family-building.

    Our actions on CSAE

    Remove the content immediately.

    Permanently ban the account and any linked accounts, without refund.

    Preserve relevant evidence as required by law.

    Report confirmed CSAM to the U.S. National Center for Missing & Exploited Children (NCMEC) and, where applicable, to relevant law enforcement or the regional authority in the user's jurisdiction.

    We comply with applicable child safety laws in the jurisdictions where the Service is available, and align our practices with recognised industry standards, including the Tech Coalition's best practices for combating online child sexual exploitation and abuse.

    Child safety point of contact

    Any user can report suspected CSAE in-app from any profile, photograph, or conversation, or directly to contact@banbino.co. Our child safety point of contact, able to speak to our enforcement and review procedures and to act on notifications from app marketplaces and authorities, is contact@banbino.co, PandoraByte LLC, 75 E 3rd St, Sheridan, WY 82801, United States.

    7. Prohibited conduct

    Identity and honesty

    Misrepresenting your identity, age, photographs, location, health, genetic information, fertility status, relationship status, or family-building intentions.

    Creating a fake, duplicate, or automated profile, or using another person's images or information.

    Using the Service on behalf of someone else without disclosing this.

    Safety of others

    Harassing, bullying, stalking, threatening, intimidating, defaming, or inciting violence against anyone.

    Contacting a user who has blocked you, or evading a block or ban.

    Sharing another person's private information without consent (photographs, contact details, medical records, genetic data).

    Sharing sexually explicit images with a user who has not requested them.

    Commercial and unlawful use

    Using the Service for any commercial purpose, advertising, recruitment, solicitation, or promotion.

    Soliciting money, gifts, cryptocurrency, banking or identity information, or financial support under a false pretext or as part of any scheme to defraud (lawful private discussion of expenses is addressed in Section 10).

    Offering, advertising, or soliciting any sexual service, escort service, or compensated companionship (Section 9).

    Advertising a price for, or publicly soliciting payment for, gametes, embryos, tissue, or other human biological material, or arranging any transaction in human biological material that is unlawful in a connected jurisdiction (Section 10).

    Engaging in fraud, romance scams, phishing, or money laundering, or using the Service for any purpose other than genuine, lawful family-building.

    Technical

    Scraping, crawling, copying, mirroring, or extracting data by any automated means.

    Using bots, scripts, or automation to interact with the Service or with users.

    Reverse engineering, decompiling, or attempting to derive the source code, except where that restriction is prohibited by law.

    Interfering with, disrupting, probing, or attempting to gain unauthorised access to the Service or its systems.

    Circumventing any security, moderation, geographic, age, or rate-limiting measure.

    8. Prohibited content

    You must not post, send, or make available content that

    Constitutes CSAM or sexualises a minor in any way (Section 6).

    Contains nudity, pornography, or sexually explicit or suggestive material.

    Depicts, promotes, or solicits sexual services, prostitution, escorting, compensated sexual or romantic arrangements (“sugar dating”), or conception by sexual intercourse (Section 9).

    Promotes or facilitates human trafficking, forced marriage, exploitation, or the sale or transfer of a person.

    Is violent, gory, or promotes self-harm, suicide, disordered eating, or dangerous acts.

    Constitutes hate speech, or attacks or demeans anyone on the basis of race, ethnicity, national origin, religion, disability, medical condition, age, sex, gender identity, sexual orientation, marital status, or infertility.

    Contains intimate images shared without consent, or synthetic or “deepfake” sexual imagery of a real person.

    Contains false, misleading, or unqualified medical, genetic, or fertility claims.

    Infringes anyone's intellectual property, privacy, or publicity rights.

    Promotes scams, pyramid schemes, “get rich quick” offers, crowdfunding, or investment opportunities.

    Contains spam, chain messages, or links to external commercial or adult sites.

    Offers or requests any illegal product or service, including controlled substances, weapons, or prescription-only fertility medication.

    Was generated by artificial intelligence and is presented as an authentic photograph of yourself.

    Artificial intelligence and authenticity. Every profile represents a real, verified adult human being or a donor profile supplied by a licensed clinic partner. We do not create, operate, or permit synthetic profiles, chatbot personas, or AI-generated users on the Service. Where any feature uses AI to assist you (for example drafting suggestions or matching), we identify it clearly in the app. Profile photographs must be authentic, recent, unaltered images of you.

    9. No sexual services and no compensated companionship

    Banbino is not a hookup app, an adult app, or a platform for sexual services of any kind. The Service exists to help adults build families, and everything published on it must be consistent with that purpose.

    Prohibited solicitations

    Prostitution, escorting, sexual massage, or any sexual act in exchange for money, gifts, financial support, accommodation, mentorship, or any other benefit.

    “Sugar dating” or any compensated dating or companionship arrangement.

    Pornography, camming, paid content, or any adult subscription service.

    Any arrangement involving human trafficking, coercion, forced marriage, mail-order or international marriage brokerage, or the exploitation of a vulnerable person.

    Conception by sexual intercourse. You must not advertise, offer, or solicit sexual intercourse as a method of conception in any publicly visible part of the Service, profile text, photographs, usernames, headlines, prompts, or any field visible before two users have connected. This applies to the terms “natural insemination”, “NI”, “AI/NI”, and to any equivalent phrasing, abbreviation, or coded reference. We take no position on what consenting adults lawfully decide between themselves, and this does not restrict private conversation between users who have connected. What we will not do is publish or broadcast the solicitation.

    Wherever it occurs, including in private messages, you must not

    Pressure, persuade, or repeatedly ask another user to conceive by intercourse after they have declined or after a different method has been discussed or agreed.

    Make agreement to intercourse a condition of a donation, or withdraw or threaten to withdraw a donation because a user declined.

    Misrepresent your infectious disease screening, genetic screening, donation history, or the number of families you have donated to.

    Misrepresent the legal consequences of a conception method, including its effect on legal parenthood and child support.

    We treat these as serious breaches. They result in immediate, permanent termination without refund and, where appropriate, a report to law enforcement.

    Conception by intercourse carries materially different legal consequences from clinical or documented donation. In most jurisdictions a donor who conceives through intercourse is the legal father of the resulting child, with the parental rights and child support obligations that follow, regardless of any private agreement to the contrary. It also falls outside the infectious disease and genetic screening that clinical pathways are designed to provide. Take independent legal and medical advice before agreeing to any method.

    Donor arrangements initiated through the Service are expected to proceed through licensed medical facilities or, at minimum, with appropriate medical screening and independent legal documentation. See Sections 15 and 16.

    10. Compensation, and why we never handle your money

    We never sit between users and money. Banbino does not process, transmit, hold, escrow, broker, guarantee, insure, split, or take any commission on any payment between you and any other user, donor, surrogate, intended parent, agency, or clinic. We are not a payment processor, money transmitter, escrow agent, or broker, and we do not act as agent for any user.

    The only payments we ever charge you are our own subscription fees and in-app purchases, described in Sections 18 to 20. Those are payments to us, for access to our software. No fee you pay Banbino is a payment for gametes, for surrogacy, for a donor, or for any medical or biological service.

    Where you and another user reach a financial arrangement

    It is solely between the two of you and is not a Banbino service, product, or offering.

    We are not a party to it. We do not review it, approve it, record it, enforce it, mediate it, or take any responsibility for it.

    We make no representation that it is lawful, enforceable, or advisable in your circumstances.

    Each of you is responsible for ensuring it is lawful under every legal system connected to the arrangement (Section 11).

    Each of you should take independent legal advice before agreeing to anything.

    What may not appear in public profile content. Compensation terms, price lists, fee schedules, and solicitations of payment must not appear in publicly visible parts of the Service. In a number of countries where Banbino is available, publishing an offer to pay for or to sell gametes is an offence distinct from the arrangement itself, and it is Banbino that publishes anything appearing in a public profile field. We cannot broadcast such offers into every jurisdiction we operate in. Private conversation between connected users is a different matter.

    Prohibited outright, wherever it appears

    The sale or purchase of organs, or any transaction in human biological material that is unlawful in a connected jurisdiction.

    Any payment made to conceal an unlawful arrangement, to evade a legal restriction, or to induce a person to act against their will.

    Payment for a child, or for the transfer of parental rights, in any form (Section 6).

    Never send money to someone you have not met

    Do not send money, cryptocurrency, gift cards, bank details, or identity documents to anyone you meet on Banbino before you have independently verified who they are. Requests for money are the most common single indicator of a romance scam. Report them to us immediately. We will never ask you to pay another user, we cannot recover funds you send to another person, and we are not liable for any loss arising from a payment you make to anyone.

    11. Legality of family-building arrangements, your responsibility

    We provide software; you make the decisions. What we do is operate an application that lets verified adults create profiles, find one another, and communicate. That is the entire service. We do not arrange, broker, supervise, advise on, approve, screen, or participate in any donor, co-parenting, or surrogacy arrangement. An introduction made through the Service creates no relationship between Banbino and whatever the two of you subsequently decide to do.

    Every decision you make after an introduction, whether to proceed, with whom, on what terms, in which country, with what medical involvement, and with what documentation, is yours alone.

    The law varies enormously, and it is yours to check. The law governing donor conception, gamete donation, compensation, surrogacy, and legal parenthood differs profoundly between countries, and within some countries between states or provinces. An arrangement that is routine and lawful in one place may be void, unenforceable, regulated, or criminal in another. You are solely responsible for determining, and for complying with, every law that applies to you, including the law of your nationality, your residence, the place where any treatment or conception occurs, and the place where a child will be born or raised. We do not provide legal advice and we cannot tell you whether your plans are lawful. Consult a qualified lawyer in each relevant jurisdiction.

    Cross-border arrangements. Some users lawfully pursue treatment in a country other than their own. Where this is lawful for you, we neither encourage nor discourage it, and we take no part in it. Be aware that a number of countries apply their laws to their nationals or residents regardless of where the arrangement takes place, and that a parental status validly acquired abroad is not always recognised at home, which can affect citizenship, immigration, inheritance, and your legal relationship to your own child. Travelling to a jurisdiction with more permissive rules does not, by itself, make an arrangement lawful for you.

    Restricted jurisdictions. We may withhold, restrict, or withdraw the Service, or particular features of it, in any jurisdiction, including where local law restricts online matchmaking, donor conception, or surrogacy, or where we cannot meet a local requirement. Where we do so, it is a decision about where we are willing to operate, and it is not advice about the law of that place.

    Allocation of responsibility

    Banbino's role is limited to providing the software and the introduction.

    You bear sole responsibility for the legality, structure, documentation, and consequences of any arrangement you enter into, including any consequence for legal parenthood, parental responsibility, child support, custody, inheritance, immigration, or citizenship.

    We are not liable for any such consequence, whether or not the arrangement began with an introduction made through the Service.

    Your indemnity in Section 28 and the release in Section 28.2 extend to claims of that kind.

    Nothing in this Section limits any liability that cannot lawfully be limited, or removes any right you have as a consumer under mandatory law.

    12. Reporting, blocking, moderation and enforcement

    Reporting and blocking. You can report any profile, photograph, message, or conversation from within the app, or by writing to contact@banbino.co. You do not need an account to report illegal content to us. You can block any user at any time from their profile or from any conversation; blocking prevents further contact and removes your profile from their view.

    How we moderate. We use a combination of automated detection, filtering at the point of upload, user reports, and trained human moderators. We may review, screen, and remove content at our discretion, and we may proactively investigate accounts where we have reason to believe these Terms have been breached.

    Our response times. We review reports promptly and act on reports of objectionable content or abusive users within 24 hours, by removing the content and, where substantiated, suspending or terminating the account responsible. Reports involving child safety, imminent risk of harm, or credible threats are prioritised for immediate action.

    Enforcement actions. Depending on the seriousness of the breach, we may issue a warning; remove or hide content; restrict features; limit visibility; suspend the account; permanently ban the user and any linked accounts; and report the matter to law enforcement or a relevant authority. For serious breaches, including anything in Sections 6 or 9, we ban permanently on the first occurrence.

    Notice and appeals. Where we take action against your account or content, we will notify you and give the reason, unless we are legally prohibited or notification would compromise an investigation, the safety of another person, or the prevention of crime. You may appeal any moderation decision within six months using the appeal link in the notification, or by contacting contact@banbino.co with your account details. Appeals are reviewed by a person who was not involved in the original decision.

    EU and UK users. If you are in the EU, you have rights under the Digital Services Act, including to receive a statement of reasons for our decisions, to use our internal complaint-handling system free of charge, to refer a dispute to a certified out-of-court dispute settlement body, to bring proceedings in the courts of your member state, and to complain to your national Digital Services Coordinator. Our point of contact for authorities and users under the DSA is in Section 33. If you are in the UK, you may bring a claim for breach of contract if you believe we have wrongly removed your content or terminated your account.

    13. Safety, verification and background screening disclosures

    What we do. We invest in user safety, including through photo verification, automated content monitoring, human moderation, reporting and blocking tools, in-app safety guidance, and, where we consider it necessary, identity verification or checks against publicly available sex offender registries.

    Banbino does not conduct criminal background screenings on its members.

    Where we do carry out any check, for example in response to a report of suspected misconduct, such checks are not foolproof; they may give members a false sense of security; they are not a perfect safety solution; criminals may circumvent even the most sophisticated search technology; not all criminal records are public in all states and not all databases are up to date; only publicly available convictions are included; and such checks do not cover other types of convictions or arrests, or any convictions from foreign countries. Any check we perform is a point-in-time check and is not updated.

    We may ban any user we reasonably believe has been convicted of a sexual offence, human trafficking, stalking, kidnapping, child abuse, domestic abuse, homicide, a hate crime, or terrorism, and we may ban users for other offences or for any breach of these Terms.

    Fraud and romance scam protection. You should never send money, cryptocurrency, gift cards, or financial or identity information to anyone you meet on Banbino, and you should be cautious of anyone who moves quickly off the platform, avoids video calls, or describes an emergency requiring funds. Where a user with whom you have exchanged messages is banned for fraud, we will, where required by applicable law and where we can do so safely, send you a fraud ban notification identifying the banned profile, the approximate time of your last contact with it, a warning that the person may have used a false identity, a reminder not to send money or financial information to other users, guidance on avoiding online fraud, and our support contact details.

    Meeting in person. Any decision to communicate with, meet, or enter into any arrangement with another user is yours alone and is made at your own risk. Meet in a public place, tell someone where you are going, arrange your own transport, and do not share your home address early. We do not vet, endorse, screen, or supervise users, and we are not responsible for the conduct of any user, whether on or off the Service.

    Your responsibilities. You are responsible for your own safety, for conducting your own due diligence on anyone you meet, for insisting on appropriate medical screening and legal documentation before any family-building arrangement, and for reporting suspicious or unsafe behaviour to us.

    14. Your content and licence

    You own your content. You retain ownership of the photographs, text, messages, and other material you submit (“Your Content”). You are solely responsible for Your Content and for having all rights and permissions necessary to submit it.

    Licence to us. You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, adapt, modify (for formatting and technical purposes), display, and distribute Your Content solely for the purposes of operating, providing, securing, moderating, and improving the Service, and for enforcing these Terms.

    This licence does not permit us to use Your Content in advertising or marketing outside the Service without your separate, express consent. It ends when Your Content is deleted, except for copies retained for the legal, safety, and fraud-prevention purposes described in Section 24.4, and except for copies other users have lawfully saved outside the Service, which we cannot recall.

    Deleting content and feedback. You may delete Your Content at any time in the app, and we may remove content that breaches these Terms. If you send us suggestions or feedback, we may use them without restriction or compensation.

    15. Clinic partners and donor profiles

    We may display donor profiles supplied to us by licensed fertility clinics and gamete banks (“Clinic Partners”). Clinic Partner content is third-party content. It is supplied, controlled, screened, and updated by the Clinic Partner, not by us.

    What we do and do not do

    We display information provided to us. We do not verify, screen, test, or independently confirm any medical, genetic, or identity information in a Clinic Partner profile.

    We do not select donors for you, and we do not recommend any particular donor.

    We do not sell gametes, embryos, or any medical service, and we do not receive any payment from you or commission for any donor arrangement. Fees for clinical services are charged by the Clinic Partner directly to you under its own agreement with you.

    We are not a party to your relationship with any Clinic Partner. That relationship is governed by the Clinic Partner's own terms, consent forms, privacy notice, and medical protocols.

    Individual (non-clinic) donor connections

    Screening and treatment at a licensed fertility clinic.

    Infectious disease and genetic carrier screening for all parties.

    Independent legal advice for each party from a lawyer qualified in reproductive law in the relevant jurisdictions.

    A written agreement addressing parental rights, parental responsibility, financial responsibility, contact, and disclosure to any resulting child.

    Counselling, including implications counselling where available.

    Parental status, legal parenthood, and financial responsibility for a child can arise or fail to arise in ways that surprise people, and the rules differ sharply between countries and between U.S. states. Home insemination and undocumented arrangements carry particularly serious legal risk for everyone involved.

    16. Medical, genetic and legal disclaimers

    No medical advice. Banbino does not provide medical advice, diagnosis, treatment, fertility services, or genetic counselling. Nothing on the Service is a substitute for consultation with a qualified healthcare professional. Never disregard or delay professional medical advice because of something you read on the Service. If you are experiencing a medical emergency, contact your local emergency services.

    No legal advice. Family-building arrangements have complex and jurisdiction-specific legal consequences, including for legal parenthood, custody, inheritance, immigration, child support, and the enforceability of agreements. Consult a qualified lawyer in each relevant jurisdiction before proceeding.

    Health and genetic information is unverified. Health information, fertility history, genetic information, screening results, and family medical history shared by individual users are self-reported and unverified by us. Clinic Partner information is provided by the clinic and is subject to that clinic's own protocols. Do not rely on any information on the Service for a medical decision.

    No outcome guarantees. Fertility, conception, pregnancy, and birth outcomes cannot be predicted or guaranteed by anyone, and we make no representation about them.

    Recommended professional support

    A reproductive endocrinologist or fertility specialist.

    A family or reproductive law attorney in each relevant jurisdiction.

    A genetic counsellor where indicated.

    A fertility counsellor or mental health professional.

    17. Privacy, health data and genetic data

    Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

    Sensitive data, your explicit consent. Using the Service necessarily involves sharing information treated as special category or sensitive personal data under laws such as the EU and UK GDPR and various U.S. state privacy laws, including health information, fertility and reproductive information, genetic information, and information about your sex life or sexual orientation. We process this information only with your explicit consent, given at the point you provide it, and only for the purposes described in our Privacy Policy. You may withdraw consent at any time by deleting the relevant information or your account, though withdrawal may prevent us from providing core features.

    Information you publish is seen by others. Only share health, genetic, or fertility information that you are comfortable making visible to strangers. Once shared, information may be saved, screenshotted, or repeated by others in ways we cannot control or reverse. Do not share information belonging to another person without their consent.

    Security. We apply appropriate technical and organisational measures to protect your information, including encryption in transit and at rest, access controls, logging and monitoring, periodic security review, and an incident response process. No system is perfectly secure, and we cannot guarantee absolute security.

    Not a HIPAA covered entity. Banbino is not a healthcare provider, health plan, or healthcare clearinghouse, and is generally not a “covered entity” or “business associate” under HIPAA. Information you share with us is protected under our Privacy Policy and applicable privacy law, not under HIPAA. Information you share directly with a Clinic Partner is subject to that clinic's obligations.

    18. Subscriptions, billing and automatic renewal

    Free and paid features. The core features of Banbino are free to use. We also offer optional paid subscriptions (“Premium”) and one-off in-app purchases that unlock additional features. The features, duration, and price of each offering are disclosed to you on the purchase screen, before you buy.

    Purchases made in a mobile app are governed additionally by the terms of the relevant app marketplace. Where we charge you directly, you authorise us and our payment processor to charge your chosen payment method for all amounts due, including applicable taxes.

    Automatic renewal, please read carefully

    Your subscription renews at the end of each period for a further period of the same length, at the then-current price, unless you cancel before the renewal date.

    You must cancel at least 24 hours before the end of the current period to avoid being charged for the next one.

    Your payment method is charged within 24 hours before the start of each new period.

    Deleting the app, or deleting your Banbino account, does not cancel your subscription and does not stop future charges. You must cancel through the store or channel you purchased from.

    Renewal continues until you cancel, however long that is.

    Free trials and introductory offers. If we offer a free trial or discounted introductory period and you do not cancel before it ends, the trial automatically converts into a paid subscription at the then-current standard price, and continues to renew automatically until cancelled. The length of the trial and the price that applies afterwards are shown before you sign up. One trial per person; previous trial users are not eligible for another.

    How to cancel

    Apple App Store: open Settings, tap your name, tap Subscriptions, select Banbino, and cancel. We cannot cancel an Apple subscription on your behalf.

    Google Play: open the Google Play Store app, tap your profile icon, tap Payments & subscriptions, tap Subscriptions, select Banbino, and cancel.

    Purchases made directly from us: cancel from the subscription settings in your account, or contact contact@banbino.co.

    Cancellation takes effect at the end of the current paid period, and you keep access to paid features until then. Because the Service can be used without a subscription, cancelling does not delete your account or your profile, see Section 24.

    Prices, changes and taxes. Prices vary by region, offer, and subscription length, and we run promotions and tests. If we increase the price of a subscription you hold, we will give you at least 30 days' notice and a clear opportunity to cancel before the increase takes effect; if you do not cancel, the new price applies from the next renewal. You are responsible for any sales, use, VAT, GST, or similar taxes. We may correct pricing or billing errors, including after payment has been requested or received, and may withdraw an offer made in genuine error.

    Failed payments. If a payment fails, we may retry it, suspend access to paid features, or cancel the subscription. You remain responsible for amounts properly due.

    19. Refunds and statutory cancellation rights

    Except where stated in this Section or required by applicable law, payments are final and non-refundable. We do not ordinarily provide refunds or credits for partially used subscription periods, unused features, changes of mind, or accounts suspended or terminated for a breach of these Terms.

    Cancelling a subscription stops future renewal charges but does not ordinarily result in a refund for the current billing period.

    Where to request a refund. Refund requests must generally be submitted to the party that processed the payment.

    Apple App Store: Purchases made through Apple are billed and administered by Apple. Refund requests should be submitted through Apple's “Report a Problem” service or Apple Support.

    Google Play: Refund requests for purchases made through Google Play should first be submitted through Google Play. Depending on the timing and circumstances, Google may direct you to contact Banbino for assistance.

    Purchases made directly from Banbino web: Contact contact@banbino.co and provide the email address associated with your account and a brief explanation of the request.

    Statutory cancellation and refund rights. Nothing in this policy limits any cancellation, withdrawal, refund or other consumer right that cannot legally be excluded.

    EU, EEA and UK: Consumers may have a statutory right to withdraw from a distance contract within 14 days. The availability and effect of this right may depend on whether you requested immediate access to the service and provided any consent or acknowledgement required by applicable law. Where a withdrawal or refund right applies, we will process it as required by law.

    California: California residents may have specific cancellation rights relating to dating-service contracts. Where those rules apply to your subscription, Banbino will honour them. Purchases made through Apple or Google must generally be handled through the relevant platform.

    Other US states: Some states provide additional cancellation or refund rights for dating-service subscriptions, including rights relating to cancellation shortly after purchase, death or disability. Banbino honours all mandatory rights applicable to the subscriber and the purchase.

    Other jurisdictions: Where applicable law provides a mandatory cooling-off, cancellation or refund right, we will honour that right.

    Discretionary refunds. We may provide a full or partial refund at our discretion, including in cases involving duplicate billing, a verified unauthorised charge, or a significant technical failure that prevented access to a paid feature.

    Providing a discretionary refund in one case does not require us to provide a refund in another case.

    We encourage users to contact us promptly regarding billing problems so that we can attempt to resolve them. This does not limit any right to contact a bank, card issuer, app store or payment provider.

    Where a chargeback or payment dispute remains unresolved, we may restrict paid features or suspend the affected account while the matter is investigated.

    20. Virtual items and premium features

    We may offer virtual items such as profile boosts, super-likes, priority visibility, or enhanced search (“Virtual Items”). Virtual Items are a limited, personal, non-transferable, non-sublicensable, revocable licence to use a feature of the Service. You do not own them, they are not property, and no title passes to you.

    No cash value. Virtual Items cannot be exchanged for cash or anything of value, sold, gifted, traded, or transferred, and cannot be redeemed outside the Service. Any balance shown reflects the extent of your licence, not stored value or funds held for you.

    Expiry and termination. Virtual Items may expire at the end of a subscription period, may not carry over between periods, and terminate when your account closes or when we cease providing the Service or that feature. We may modify, regulate, or discontinue them at any time.

    Non-refundable. Purchases of Virtual Items are final and non-refundable, except where Section 19.3 or other mandatory law requires otherwise. You will not receive compensation for unused Virtual Items when an account is closed, whether the closure was voluntary or not.

    21. Third-party app stores (Apple and Google terms)

    If you download the Service from a third-party app marketplace (“App Store”), the following applies, and to the extent it conflicts with any other part of these Terms, the more restrictive term applies in relation to the app and that App Store.

    These Terms are between you and PandoraByte LLC only, not with Apple Inc., Google LLC, or any other App Store provider. We, and not the App Store provider, are solely responsible for the Service and its content.

    Your licence to use the app is a non-transferable licence to use it on any device you own or control, as permitted by the App Store's usage rules.

    The App Store provider has no obligation to furnish maintenance or support for the app.

    If the app fails to conform to any applicable warranty, you may notify the App Store provider, and it may refund the purchase price of the app (if any); to the maximum extent permitted by law, it has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.

    We, and not the App Store provider, are responsible for addressing any claims you or a third party may have relating to the app, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, claims under consumer protection or privacy law, and intellectual property infringement claims.

    You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

    You must comply with any applicable third-party terms of agreement when using the app (for example, your wireless data plan terms).

    The App Store provider and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance the App Store provider from which you obtained the app has the right to enforce these Terms against you as a third-party beneficiary.

    In the event of a conflict between an App Store's or mobile carrier's terms and these Terms, that provider's terms govern in respect of the matters they cover. We are not responsible for third-party goods or services you obtain through an App Store or carrier.

    22. Third-party services and payment processors

    The Service may integrate with third-party services, including sign-in providers, payment processors and app marketplace billing systems, analytics and crash reporting, cloud hosting, communications tools, identity or age verification providers, and Clinic Partner systems.

    Your use of those services is subject to their own terms and privacy policies. We do not control them and do not endorse them or their content. Integration does not create any relationship between you and us other than as described in these Terms.

    Payment card details are collected and processed by our payment processors or by the relevant app marketplace. We do not store full payment card numbers.

    23. Notifications, location and communications

    Messages from us. We may send you push notifications, in-app messages, emails, and SMS about the Service, your account, safety matters, your subscription, and, where you have consented or where permitted by law, offers and promotions. You can turn off push notifications in your device settings and unsubscribe from marketing messages. We will still send you essential service, safety, billing, and legal messages.

    Location features. Some features depend on your location, determined using signals such as GPS, network, or Bluetooth, or on a location you enter manually. You can decline or revoke location permission in your device settings; the Service will still work, but location-dependent features will not.

    24. Suspension, termination and account deletion

    You may delete your account at any time. In the app, under Settings → Account → Delete Account. You can also request deletion on the web at banbino.co/delete-account, or by contacting contact@banbino.co. Deletion removes your profile from view immediately and permanently deletes your personal data within 30 days, subject to the retention exceptions below. Uninstalling the app does not delete your account, and deleting your account does not cancel a subscription purchased through Apple or Google, you must cancel that separately, or you will continue to be charged.

    We may suspend or terminate your account if

    You breach these Terms, our Community Guidelines, or applicable law.

    We reasonably believe your conduct on or off the Service, including conduct toward other users, puts anyone at risk.

    You are, or we reasonably believe you are, under 18.

    Your account is associated with fraud, deception, or a previously banned account.

    We are required to do so by law or by a competent authority, or your account has been inactive for an extended period.

    For breaches of Section 6 (child safety) or Section 9 (sexual services and exploitation), termination is immediate and permanent.

    Effect of termination. On termination, your profile is removed from view, your access ends, your licence to use the Service ends, and any Virtual Items and paid features are forfeited. Where your account is terminated for breach, you are not entitled to a refund, except where mandatory consumer law requires one.

    Data retention after termination. We may retain limited information after termination where necessary to comply with legal obligations, resolve disputes, enforce our agreements, prevent fraud and abuse, and protect the safety of users, for example, a record of a banned account sufficient to prevent re-registration, or material we are legally required to preserve in a child safety or law enforcement matter. Retention periods are set out in our Privacy Policy.

    25. Intellectual property and copyright complaints

    Our rights. The Service, including its software, design, interface, text, graphics, trademarks, and the Banbino name and logo, is owned by PandoraByte LLC or its licensors and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial use in accordance with these Terms. All other rights are reserved.

    Copyright complaints (DMCA). We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act and equivalent laws. To submit a notice, send our designated agent at contact@banbino.co or the address in Section 33 a written communication including: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification of the material claimed to be infringing and information sufficient for us to locate it; your contact details; a statement that you have a good faith belief that the use is not authorised by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorised to act on behalf of the owner.

    We may remove content in response to a valid notice and may terminate the accounts of repeat infringers. You may submit a counter-notice if you believe your content was removed in error.

    26. Disclaimers

    To the maximum extent permitted by law, the Service, all content on it, and all Clinic Partner and user content are provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.

    Without limiting that: we do not warrant the compatibility, suitability, identity, health, genetic status, or character of any user, donor, or surrogate; we do not warrant the accuracy of any user-provided or Clinic Partner-provided information; we do not warrant any fertility, pregnancy, or family-building outcome; and we do not warrant that the Service will be uninterrupted, secure, or error-free. Banbino does not conduct criminal background screenings on its members.

    Your use of the Service is at your own risk, and you are solely responsible for your interactions with other users. Where applicable law does not permit the exclusion of implied warranties, we provide the minimum warranty required by that law. Nothing in these Terms limits the statutory rights of a consumer that cannot lawfully be limited.

    27. Limitation of liability

    To the maximum extent permitted by law, neither PandoraByte LLC nor its affiliates, officers, employees, agents, or licensors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, however caused and on any theory of liability, arising out of or relating to the Service, including damages arising from the conduct of any other user, any offline meeting, any donor, surrogacy, or co-parenting arrangement, any medical or legal consequence of such an arrangement, or any information provided by a user or Clinic Partner, even if we have been advised of the possibility of such damages.

    Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations are a fundamental basis of the bargain between us and apply even if a limited remedy fails of its essential purpose.

    Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions, so parts of this Section may not apply to you.

    28. Indemnification and release

    Indemnity. You agree to indemnify, defend, and hold harmless PandoraByte LLC and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to: your use of the Service; Your Content; your breach of these Terms or of any law; your interactions or arrangements with any other user, donor, surrogate, or Clinic Partner; and any claim relating to legal parenthood, parental responsibility, child support, custody, or inheritance arising from an arrangement you entered into. This does not require you to indemnify us for our own fraud, wilful misconduct, or for anything a court holds cannot lawfully be indemnified.

    Release. To the maximum extent permitted by law, you release us from claims, demands, and damages of every kind arising out of or connected with disputes between you and any other user, including personal injury, death, and property damage. If you are a California resident, you waive California Civil Code Section 1542, which provides that a general release does not extend to claims the releasing party does not know or suspect to exist in their favour at the time of executing the release and that, if known, would have materially affected their settlement with the released party. This release does not apply to any unconscionable commercial practice by us, or to our fraud, deception, false promise, misrepresentation, or concealment of a material fact.

    29. Dispute resolution and arbitration

    Who this applies to. This Section applies to users in the United States. If you are a consumer resident in the European Union, the United Kingdom, or any other jurisdiction where pre-dispute binding arbitration or class action waivers are unenforceable against consumers, it does not apply to you, and Section 32.5 governs instead. EU consumers may also use the European Commission's Online Dispute Resolution platform.

    Informal resolution first. Before starting an arbitration, you and we agree to try to resolve the dispute informally. Send written notice to PandoraByte LLC, 75 E 3rd St, Sheridan, WY 82801, including your name, address, the email and phone number on your account, a description of the dispute, and the relief sought. We will send notice to the email on your account. Both parties agree to negotiate in good faith for 60 days before filing.

    Agreement to arbitrate. If informal resolution fails, you and PandoraByte LLC agree that any dispute arising out of or relating to these Terms or your use of the Service will be resolved by binding individual arbitration, not in court, except that either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive relief in court for infringement or misuse of intellectual property. By agreeing to arbitration, you and we waive the right to a jury trial.

    Rules and procedure. The Federal Arbitration Act governs this Section. Arbitration will be administered by our designated arbitration provider under its rules in effect when the demand is filed. It will take place in a location reasonably convenient to your residence, or by videoconference or on documents where the rules permit. The arbitrator will issue a written, reasoned award, which is final and binding.

    Individual basis only. All claims must be brought on an individual basis. You and we waive the right to participate in a class action, collective action, or representative proceeding. Claims of more than one user may not be consolidated, except that batching or bellwether procedures may be used in mass filings. If 30 or more similar arbitration demands are filed against us by the same or coordinated counsel within a 60-day period, the parties will cooperate with the arbitration provider's mass arbitration procedures.

    Your right to opt out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice stating your name, the email address on your account, and a clear statement that you opt out of arbitration, to contact@banbino.co or our postal address. Opting out does not affect any other part of these Terms, and we will not treat it adversely.

    Severability and survival. If any part of this Section is found unenforceable, that part is severed and the remainder continues to apply, except that if the class action waiver is held unenforceable as to a particular claim, that claim will proceed in court. This Section survives termination of your account.

    30. International use, export controls and sanctions

    Availability. The Service is operated from the United States and may not be appropriate or available in every country. We may restrict or withdraw access in any jurisdiction, including where local law prohibits online dating or matchmaking services, restricts donor conception or surrogacy, or imposes requirements we cannot meet.

    Your compliance. You are responsible for complying with the laws that apply to you, including laws on donor conception, gamete donation, surrogacy, compensation, parental status, and data protection. A family-building arrangement that is lawful in one country may be a criminal offence in another. It is your responsibility to check.

    Export and sanctions. You may not use the Service if you are located in, ordinarily resident in, or a national of a country subject to comprehensive U.S. sanctions or embargo, or designated by the U.S. Government as a terrorist-supporting country, or if you are listed on any U.S., UK, EU, or UN restricted-party or sanctions list.

    Data transfers. Using the Service involves transferring your information to the United States and to other countries where we and our service providers operate. We use appropriate safeguards for those transfers as described in our Privacy Policy.

    31. Changes to these Terms

    We may update these Terms to reflect changes to the Service, to our business, or to legal or regulatory requirements. We will post the updated Terms with a new “Last Updated” date and, for material changes, notify you by in-app notification and, where we hold your email address, by email, at least 30 days before the change takes effect (or sooner where a change is required by law or is needed to address a safety or security risk).

    If you do not agree to the updated Terms, you must stop using the Service and may delete your account before the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. Changes to Section 29 (arbitration) do not create a new opt-out right for users who previously accepted an arbitration agreement and did not opt out.

    32. Miscellaneous and governing law

    Entire agreement. These Terms, together with our Privacy Policy and Community Guidelines, are the entire agreement between you and us about the Service and replace any earlier agreement on the same subject.

    Severability. If any provision is held invalid or unenforceable, it is severed and the remaining provisions continue in full force.

    No waiver. Our failure or delay in enforcing any provision is not a waiver of it.

    Assignment. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you. You may not assign your rights or obligations without our written consent.

    Survival. Sections that by their nature should survive termination, including Sections 14.2, 19, 24.3, 24.4, 25 to 30, and 32, continue after these Terms end.

    Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.

    Language. These Terms are written in English. Any translation is provided for convenience; in the event of conflict, the English version governs, except where mandatory local law provides otherwise.

    Governing law and forum. These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, United States, without regard to conflict of law rules, and, where applicable, by the Federal Arbitration Act. Subject to Section 29, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction.

    If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer protection rules, this Section does not deprive you of the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts of your country of residence.
